What's Happening?

The Board of Edinburgh Worldwide Investment Trust (EWIT or the Company) has announced its intention to put forward a proposal to implement a tender offer for up to 100% of EWIT's issued share capital (the Tender Offer), to provide eligible shareholders with the opportunity to receive a significant initial cash exit and also retain access to the potential future value from EWIT's largest shareholding, SpaceX.

A General Meeting will take place on 10 April 2026 and the Board is urging shareholders to VOTE FOR the Tender Offer. The Board will be tendering the shares which they hold.

<p>Dear shareholders,</p> <p>Edinburgh Worldwide remains under persistent attack from Saba Capital. A change of control of your company is becoming increasingly probable in the next few months. The Board has therefore proposed a tender offer for up to 100% of the issued share capital of the Trust to give eligible shareholders a choice, which you deserve, and the freedom to opt out before Saba is able to secure control of the Company.</p> <p>Twice in the last year, the majority of non-Saba shareholders have rejected the attempts by Saba to force through its proposals. Edinburgh Worldwide has a unique and exciting mandate and many of you do not want to see this destroyed by Saba for their own commercial self-interest. The Path for Growth strategy is delivering. We would love to carry on, to keep getting smarter, to keep outperforming our benchmark.</p> <p>Sadly, Saba thinks otherwise and, after exploring all reasonable options to reach a constructive resolution, the Board believes it would now be irresponsible to allow the Company to remain caught in this cycle indefinitely, or to subject shareholders to a change of control without a route out.</p> <p>Saba’s commercial self-interest and the structural weaknesses in our regulatory framework mean that it is only a matter of time before they succeed in taking control of Edinburgh Worldwide. A year ago, their first attempt was rejected by 64% of voters. A couple of months ago, after increasing its holding, Saba’s second attempt was rejected by 53% of voters. The margin gets ever tighter, and our detailed analysis suggests that Saba is on the verge of prevailing at the upcoming AGM.</p> <p>And Saba has now laid its cards on the table: A new Board, a new manager, ideally themselves, a new mandate. Saba has not listened to you.</p> <p>Now is the time for the Board to offer a safety net, to allow you to protect your investment, to sell out of Edinburgh Worldwide if you so choose, to move out of these choppy waters created by Saba’s persistence and their self-serving commercial objectives.</p> <p>The Board believes the proposed Tender Offer represents the best possible solution for shareholders in the current circumstances. This tender offers you cash up front for the majority of your shares close to net asset value. It also reserves some of your shares specifically for SpaceX. You will have heard market rumours of an upcoming IPO or other liquidity event at a significantly higher value than our carrying value. The Board believes that it is only fair and right to allow you to receive the cash benefits of any such upside as and when it happens.</p> <p>This is a much more attractive offer than Saba’s proposal at 99% of net asset value – no upside on SpaceX and no certainty of implementation by a new board it claims to be independent.</p> <p>This is not the outcome we would have chosen under different circumstances. However, having reached this impasse, the entire board will be voting for the tender offer and will then tender our shares.</p> <p>This could be your last chance before Saba takes control by forcing through board and managerial changes. The rationale for the tender offer

Edinburgh Worldwide’s Board has proposed a tender offer for up to 100 per cent of the Trust’s issued share capital, giving eligible shareholders a choice and a route out as Saba Capital moves closer to taking control. Jonathan Simpson-Dent, Edinburgh Worldwide Trust’s Chair, explains why the Board believes this is the best possible solution for shareholders and urges them to vote.

Why you should vote FOR the tender offer

The Board is urging Shareholders to VOTE FOR the Tender Offer for the following reasons:

  • The Tender Offer gives shareholders the opportunity to receive a significant initial cash exit and retain access to the potential future value from EWIT’s largest shareholding, SpaceX
  • The alternative is uncertainty and potentially becoming trapped in a Saba-controlled vehicle
  • The Board fully commits to implementing the Company’s Tender Offer

How to vote if you hold shares through a platform

Your vote is very important. You are strongly encouraged to VOTE FOR the Tender Offer.

If you hold shares through a platform, such as Hargreaves Lansdown or Interactive Investor, you can vote by accessing your online account. Voting is straightforward and should take less than five minutes.

If you hold your shares in certificated form voting is now open. If you hold your shares through a platform their dates may differ so you should contact them directly if voting is not yet available.

<p>This tender offer is timed to pre-empt an ever-increasing likelihood that Saba will take control of Edinburgh Worldwide. Saba commenced its third attempt just 3 weeks after the majority of non-Saba shareholders rejected their proposals. The vote is getting ever tighter, and the Board’s detailed analysis suggests that it is increasingly probable that Saba gets control of your Company by the end of April.</p> <p>So what do you need to do?</p> <p>This is a 2-step process.</p> <p>First, this tender offer requires shareholder approval. You should vote to allow the tender to proceed, to give you choice and options – this requires a 50% majority of voting shareholders. This vote will be concluded on 10 April.</p> <p>Shareholders can vote by completing the Blue Form of Proxy or through CREST, if shares are held electronically.</p> <p>It is important that you complete and return the Blue Form of Proxy, appoint a proxy or proxies electronically or use the CREST electronic voting service in the manner referred to below by 8 April.</p> <p>Shareholders who hold their shares through an investment platform, such as Hargreaves Lansdown, Interactive Investor or AJ Bell, should contact your provider for information on how to vote, as platform deadlines may be earlier.</p> <p>And second, if you want to take advantage of this offer you must tender your shares. You will have until 16 April to do this.</p> <p>This can be done by completing the Gold Tender Form or submitting instructions through CREST.</p> <p>If you decide to tender your shares, you can expect two payments. First, the Company will begin the orderly sale of its listed investments. Once those assets have been sold, shareholders will receive an initial payment.</p> <p>A small portion of shares will then be placed in escrow. This simply means that they are held temporarily, cannot be traded, and remain in place until the Company realises your fair portion of SpaceX.</p> <p>The second payment will be made when there is a liquidity event for SpaceX, such as a sale or IPO. At that point, the Company would sell your SpaceX allocation and return the remaining value to shareholders.</p> <p>If you decide to stay in the Trust, you should expect change – a new board, a new manager, quite possibly Saba, a new mandate. A smaller Trust with Saba potentially yielding even more influence – and, inevitably, a less liquid portfolio.</p> <p>The entire board will be voting for the tender offer and will then tender our shares.</p> <p>Both I and the Board believe that this tender offer is the fairest and most deliverable solution for many shareholders who have twice rejected Saba’s alternative plans. How a tender offer works

Edinburgh Worldwide has proposed a two-step tender offer process that gives shareholders the option to opt out before Saba can secure control of the Company. Jonathan Simpson-Dent, Edinburgh Worldwide Trust’s Chair, explains how the offer works, outlines the key deadlines, and urges shareholders to act twice.

General meeting

2.00pm on 10 April at the offices of Dentons UK and Middle East LLP at One Fleet Place, London, EC4M 7RA.

How to vote via a proxy

All shareholders on the main register will be posted a copy of the circular covering the general meeting along with a proxy form and instructions on how to complete this. You can also read a copy of the circular. 

The Company has appointed Georgeson (a trading name of Computershare Investor Services PLC) to liaise with Shareholders to ensure that forms of Proxy are completed and submitted by the deadlines stated above. If you need further help or assistance in voting your Shares, please email EWIT@georgeson.com for more information. 

  • To be valid, the Form of Proxy must be completed and returned to the office of the Company’s Registrars, Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol BS99 6ZY so as to arrive no later than 2pm on 8 April 2026.
  • Alternatively, you may register your proxy appointment(s) electronically by visiting Computershare’s website. Electronic proxy appointments must also be lodged no later than 2pm on 8 April 2026.
  • Appointment of a proxy does not preclude you from attending the General Meeting and voting in person

Investment proposition

Edinburgh Worldwide offers shareholders a unique portfolio of publicly traded and private businesses operating at frontiers of technological innovation and transformation. The Trust is a global smaller companies specialist aiming to generate long-term capital appreciation by early access to emerging businesses with significant disruptive growth potential. The portfolio does not seek to track the comparative index, hence a degree of volatility against companies index is inevitable. A spread of risk is achieved by having 60–100 companies, with exposure to a minimum of six countries and 15 industries. The Trust is actively managed and will primarily consist of listed companies although up to 25% of total assets can be invested, at the time of initial investment, in private companies.
