What's Happening?
The Board of Edinburgh Worldwide Investment Trust (EWIT or the Company) has announced its intention to put forward a proposal to implement a tender offer for up to 100% of EWIT's issued share capital (the Tender Offer), to provide eligible shareholders with the opportunity to receive a significant initial cash exit and also retain access to the potential future value from EWIT's largest shareholding, SpaceX.
A General Meeting will take place on 10 April 2026 and the Board is urging shareholders to VOTE FOR the Tender Offer. The Board will be tendering the shares which they hold.

Edinburgh Worldwide will be hosting a Q&A webinar with Chair Jonathan Simpson-Dent on Friday 27 March at 12.30pm. Shareholders will have the opportunity to ask any questions they may have in relation to the Board's proposal to implement a tender offer for up to 100% of EWIT's issued share capital at a General Meeting on 10 April 2026.

The rationale for the tender offer
Edinburgh Worldwide’s Board has proposed a tender offer for up to 100 per cent of the Trust’s issued share capital, giving eligible shareholders a choice and a route out as Saba Capital moves closer to taking control. Jonathan Simpson-Dent, Edinburgh Worldwide Trust’s Chair, explains why the Board believes this is the best possible solution for shareholders and urges them to vote.
Why you should vote FOR the tender offer
The Board is urging Shareholders to VOTE FOR the Tender Offer for the following reasons:
- The Tender Offer gives shareholders the opportunity to receive a significant initial cash exit and retain access to the potential future value from EWIT’s largest shareholding, SpaceX
- The alternative is uncertainty and potentially becoming trapped in a Saba-controlled vehicle
- The Board fully commits to implementing the Company’s Tender Offer
How to vote if you hold shares through a platform
Your vote is very important. You are strongly encouraged to VOTE FOR the Tender Offer.
If you hold shares through a platform, such as Hargreaves Lansdown or Interactive Investor, you can vote by accessing your online account. Voting is straightforward and should take less than five minutes.
If you hold your shares in certificated form voting is now open. If you hold your shares through a platform their dates may differ so you should contact them directly if voting is not yet available.

How a tender offer works
Edinburgh Worldwide has proposed a two-step tender offer process that gives shareholders the option to opt out before Saba can secure control of the Company. Jonathan Simpson-Dent, Edinburgh Worldwide Trust’s Chair, explains how the offer works, outlines the key deadlines, and urges shareholders to act twice.
General meeting
2.00pm on 10 April at the offices of Dentons UK and Middle East LLP at One Fleet Place, London, EC4M 7RA.

How to vote via a proxy
All shareholders on the main register will be posted a copy of the circular covering the general meeting along with a proxy form and instructions on how to complete this. You can also read a copy of the circular.
The Company has appointed Georgeson (a trading name of Computershare Investor Services PLC) to liaise with Shareholders to ensure that forms of Proxy are completed and submitted by the deadlines stated above. If you need further help or assistance in voting your Shares, please email EWIT@georgeson.com for more information.
